By accessing or using the Batonn platform ("Service") provided by KD Bureau SAS, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Batonn is a KPI-driven management platform that helps businesses manage their performance through goals, KPIs, metrics, and decision support tools. The Service is provided as Software as a Service (SaaS) accessible via web browsers.

3. Account Registration

To use the Service, you must:

• Create an account with accurate information
• Be at least 18 years old or have parental consent
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Subscription and Payment

Pricing: The Service is offered on a subscription basis. Current pricing is displayed on our website and may be updated with notice.

Payment: Payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Currency: All prices are in EUR. VAT is applied where applicable according to EU regulations.

Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Upload malicious code or content
• Resell or redistribute the Service without authorization

6. Intellectual Property

Our Property: The Service, including its design, features, and content (excluding user data), is owned by KD Bureau SAS and protected by intellectual property laws.

Your Data: You retain all rights to the data you input into the Service. You grant us a limited license to use this data solely to provide the Service to you.

We process personal data in accordance with the General Data Protection Regulation (GDPR) and our Privacy Policy. For business accounts, you are the data controller for your employees' data, and we act as the data processor.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.

9. Limitation of Liability

To the maximum extent permitted by law, KD Bureau SAS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless KD Bureau SAS from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with notice. Upon termination, your right to use the Service ceases immediately, but you may request export of your data within 30 days.

13. Governing Law

These Terms are governed by the laws of France. Any disputes shall be resolved in the courts of Paris, France, unless you are a consumer entitled to local jurisdiction under applicable consumer protection laws.
